Incorporation Procedure and Timeline

STEP 1 - Engage our services

After confirming your decision to utilize our Corporate Secretarial Services, we will promptly create an account for you in our system.

This will enable you to promptly initiate collaboration with our service team for a swift and efficient transfer of Corporate Secretarial Services.

STEP 2 - Submit Documents For Know Your Customer (KYC) Due Diligence

If your company has individual(s) as shareholder(s), then the following documents will be required for each Director, Shareholder, and Ultimate Beneficial Owner (UBO):

  • Passport
  • NRIC copy for Singapore citizens and PRs (or FIN card for Singapore Employment Pass Holders)
  • Proof of residential address (i.e. rental agreement, recent utility bill, etc. – not older than 3 months)
  • KYC form filled (including a brief synopsis of professional background)
  • Business background

If your proposed company will have corporate entity(ies) as shareholder(s), then the following details will be required:

  • Certificate of Registration: This will be issued by the jurisdiction’s Registrar of the country in which your company is registered.
  • Company Extract:
    • – Company’s name, identity number, registered address and principal business activities
    • – Capital (Paid-up, issued, authorized) of the company
    • – Details of Shareholders and Directors
  • Authorized Person Resolution (Board Resolution): This resolution needs to be passed by the company’s director(s) and should include:
    • – The decision of the shareholding company to hold shares in your proposed Singapore Company.
    • – The appointment of an Authorized Person for signing documents related to the formation of the Singapore Company on behalf of the shareholding company.
  • Ownership Structure Chart: It should identify the key Ultimate Beneficial Owners (UBOs) of the shareholding company. For each UBO, the listed documents will be required.

STEP 3 - Verification of any Compliance Gap

We offer a complimentary compliance audit of your company’s filing obligations for the previous year.

Any gaps identified will be promptly communicated to you.

At this stage, you can choose to address these gaps with your previous service provider or opt for our assistance in resolving them.

STEP 4 - Acquiring Your Company Records from Your Previous Service Provider

We will arrange for the retrieval of your current company records from your previous service provider.

Upon collection and verification of these records, we will inform you of any missing items that require attention.

STEP 5 - Documentation Transfer Preparation

We will prepare and provide the necessary documentation for the appointment of our firm’s Corporate Secretarial Services, which will be submitted to you for your signature.

STEP 6 - ACRA Update

After obtaining your signatures, we will proceed to inform ACRA of our firm’s appointment as your company’s secretarial agent.

STEP 7 - New ACRA Business Profile

After updating the ACRA records, we obtain a copy of your company’s updated ACRA business profile.

How long does the entire process of transfer of Corporate Secretarial Services take?

Typically, the transfer of Corporate Secretarial Services takes approximately 2-3 weeks to complete.

After you have submitted the necessary documents, we will conduct the KYC process and proceed with arranging paperwork and lodging with ACRA. Once all details are updated, we will coordinate the collection of your company file.

The actual duration hinges largely on the promptness of both your company and that of your previous service provider in fulfilling the required tasks.

When should I start the transfer process from my current Corporate Secretarial Service Provider?

We recommend initiating discussions regarding your company transfer with us at least one month before the expiration of your current service provider contract.

This timeframe allows ample opportunity to confirm desired services, finalize fees, and understand your business requirements thoroughly.

What do I need to do once I have accepted the transfer of my Corporate Secretarial Services to BESO?

After confirming the transfer of Corporate Secretarial Services, please contact your current Corporate Service provider and request the resignation of their Secretary and Nominee Director (if applicable).

Once we receive these documents, we can proceed with arranging the transfer and collection of your file from your previous Corporate Secretary service provider.

Process:

If my company’s previous year annual filing is still pending, should I have my current provider or BESO to handle it?

Before proceeding, it’s advisable to verify whether you’ve already paid for this service as part of your existing provider’s package.

However, you have the flexibility to handle this in the manner that suits you best.

If preferred, we can include this filing as part of our Corporate Secretarial Services Transfer package for an additional fee.

Please note that any fines imposed by ACRA will need to be paid separately, in addition to the quoted service fee.

How should I proceed if my current service provider is unwilling to terminate their involvement with the company?

If the existing service provider refuses to exit from the company, the transfer of Corporate Secretarial Services can still be facilitated through a shareholders’ resolution.
